It sounds like your trying to use the automatic update feature? I don't think that ever worked well for me on 98. Have you tried it manually? (Tools->Windows Update in IE) Or try: http://support.microsoft.com/default.aspx/ph/1139?sid=1020 At the very worst you can probably ask MS for a service pack CD if all else fails.
Since it's a business involved I would say yes. Just look at what's going on with Best Buy and their Geek Squad now after thinking they could pirate Winternals(a great program I might add). I'm not sure what I want to say here.
